ARTICLES OF INCORPORATION
OF
DUNHAM/SINGLETARY FAMILY CONNECTIONS

 Article I – NAME

The name of this corporation is: DUNHAM/SINGLETARY FAMILY CONNECTIONS. The organization shall be incorporated in the State of Montana.  The structure of the organization shall be defined in the By-Laws.

Article II - TYPE

A. The corporation is a nonprofit Public Benefit Corporation and is not organized for the private gain of any person. It is organized under 35-2-213(a)(i) Montana Code Annotated for public or charitable purposes. Such purposes for which the corporation is organized are exclusively charitable, within the meaning of Section 501(c)(3) of the Internal Revenue Code.

B. Notwithstanding any other provision of these articles, the corporation shall not carry on any activities not permitted to be carried on (a) by a corporation exempt from federal income tax under Section 501(c)(3) of the Code (or the corresponding provision of any future United States Internal Revenue Law).

Article III – REGISTERED AGENT

The name and address of the corporation's registered agent is Austin Dunham, 1011 W. Evelyn St., Lewistown, MT 59457-2341.

Article IV – DISSOLUTION

If the corporation dissolves for any reason, the Board of Directors shall, after paying or making provision for the payment of all liabilities of the corporation, dispose of all its assets to a non-profit organization which is organized and operated exclusively for charitable purposes and which has established tax exempt status under Section 501[c][c], Internal Revenue Code, or shall be distributed to a state or local government for a public purpose.

Article V – OBJECTIVES

The objectives of the organization shall be to:

  1. perpetuate the memory and genealogy of the Dunham/Singletary family and connections,

  2. promote interest in genealogical and historical research with emphasis on the above entities; identify, locate, collect, analyze disseminate and preserve genealogical, historical and biographical information pertaining to the Dunham/Singletary family (including any alternate spellings of the name and allied families as agreed to by the membership), and serve as a medium for the safekeeping and exchange of information,

  3. identify, locate and preserve important historical sites and materials related to item 2 above,

  4. publish such newsletters, periodicals and such other as objects as the membership may deem beneficial. To the extent feasible, such publications shall be in electronic format,

  5. provide for reunions and other special events for the maintenance of these friendships on a local, regional, national or international basis,

  6. promote friendship, understanding and mutual assistance throughout the entire membership,

  7. encourage high ethical standards and professionalism in all genealogical and historical research practices, including careful and thorough documentation and

  8. provide guidance and stimulate interest in the use of efficient procedures and the adherence to principles of accuracy and thoroughness in such research.

Article VI - POWERS

Section 1.  The powers of the corporation shall include all those reasonably necessary to carry out its approved purposes under the laws of the State of Montana and applicable provisions of the United States Internal Revenue Code.

Section 2.  The Board of Directors shall be responsible for managing and regulating the affairs of the corporation.

Section 3.  Directors of the corporation shall not be personally liable to the corporation or its members for monetary damages for breach of a director's duties to the corporation and its members; however, this provision does not eliminate the liability of a director for a breach of the director's duty to loyalty to the corporation or its members, for acts or omissions not in good faith or that involve intentional misconduct or a knowing violation of a law, or for a transaction from which a director derived an improper personal economic benefit or under the provision of 35-2-418, 35-2-435, or 35-2-436 MCA.

Article VII - INCORPORATOR

The incorporator of this corporation is Paul C. Dunham, 465 Vigilante Drive, Helena, Montana 59602-0234.

 Article VII - PROHIBITIONS

A. No substantial part of the activities of the corporation shall consist of carrying on propaganda, or otherwise attempting to influence legislation. The corporation shall not participate in or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office.

B. The corporation is not organized, and shall not be operated, for pecuniary gain or profit. It does not contemplate the distribution of gains, profits, or dividends to its members or to any private shareholder, as defined for purposes of Section 501(c)(3) of the Code, or individual.

C. The property, assets, profits and net income of the corporation are dedicated irrevocably to the purposes set forth in Article II above. No part of the profits or net income of the corporation shall ever inure to the benefit of any director, trustee, officer, shareholder or member of the corporation, or to the benefit of any private individual.

Article IX. – MEMBERS

A. Any individual interested in promoting the objectives of the corporation is eligible for primary membership

B. The Board of Directors may create additional classes of membership; however, additional classes may not be be discontinued without a vote of the membership.

Article X – DIRECTORS

A. The number of Directors of the Corporation shall be at least nfiv (5) and not more than fifteen (15) pursuant to the by-laws of the Corporation.
